Terms of Service

1. Acceptance of Terms

By accessing nextice.co.uk, requesting a quotation, submitting our contact form or engaging NextIce Digital Agency Ltd for any service, you ("Client", "you") confirm that you have read, understood and agree to be bound by these Terms of Service and our Privacy Policy.

If you are entering into these terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. These terms apply to all clients in the United Kingdom, United States, Canada and any other jurisdiction where we operate.

2. Our Services

NextIce Digital Agency Ltd provides the following professional services:

2.1 Digital Marketing Services

• Search Engine Optimisation (SEO): On-page SEO, off-page SEO (link building), technical SEO audits, local SEO, keyword research, schema markup, Core Web Vitals optimisation
• Google Ads Management: Search campaigns, Display campaigns, Shopping ads, YouTube advertising, Remarketing and Performance Max
• Facebook & Instagram Advertising: Lead generation, traffic, conversion and retargeting campaigns via Meta Ads Manager
• LinkedIn Advertising: Sponsored Content, InMail campaigns, Lead Gen Forms, B2B marketing and account-based advertising
• Social Media Marketing: Organic content strategy, community management and brand building
• PPC Management: Pay-per-click campaign setup, management and optimisation across all major platforms

2.2 Web Development Services

• Custom website development using HTML5, CSS3, JavaScript and Bootstrap 5
• PHP and Laravel framework development
• WordPress theme development and customisation
• WooCommerce eCommerce development
• Website maintenance, hosting support and security updates
• Landing page design and conversion rate optimisation (CRO)

Specific deliverables, timelines and fees for each project will be agreed in a separate Project Agreement or Statement of Work (SOW) prior to commencement.

3. Client Obligations

As a client of NextIce, you agree to:

• Provide accurate, complete and up-to-date information about your business, goals and requirements
• Provide necessary access to platforms, accounts and assets (Google Ads, Meta Business Manager, WordPress admin, etc.) in a timely manner
• Provide timely feedback and approvals to avoid delays to project delivery
• Ensure that all content, images and materials you provide do not infringe third-party intellectual property rights
• Comply with all applicable laws and regulations in your jurisdiction (UK, USA or Canada)
• Not use our services for unlawful, deceptive, harmful or fraudulent purposes
• Keep login credentials and access information secure and confidential
• Pay all invoices in accordance with the agreed payment schedule

4. Payment Terms

4.1 Fees & Invoicing

• Service fees are as agreed in writing before project commencement
• Monthly retainer services are invoiced at the start of each calendar month
• One-time project fees require a 50% deposit before work begins, with the balance due upon project completion
• All prices are in GBP (£) unless otherwise agreed
• Advertising spend (Google Ads budget, Meta ad spend, etc.) is additional to our management fees and paid directly by the client to the respective platform

4.2 Payment Schedule

• Invoices are due within 14 days of the invoice date
• Late payments beyond 14 days may incur interest at 8% per annum above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998
• Services may be suspended if invoices remain unpaid for more than 30 days

4.3 Refunds

• Deposits are non-refundable once work has commenced
• Monthly retainer fees are non-refundable for the current billing period
• Refund requests for exceptional circumstances will be reviewed on a case-by-case basis

5. Intellectual Property

5.1 Client Content

You retain all ownership rights to content, logos, trademarks and materials you provide to us. By providing this material, you grant NextIce a licence to use it solely for delivering the contracted services.

5.2 Deliverables

Upon full payment of all applicable fees, ownership of custom deliverables (website code, design assets, written content produced specifically for you) transfers to the client. This excludes:

• Third-party licensed components (themes, plugins, stock images)
• Our proprietary tools, frameworks and methodologies
• Open-source software used in development (subject to their respective licences)

5.3 Portfolio Rights

NextIce reserves the right to display completed work in our portfolio and marketing materials unless you request otherwise in writing.

6. Confidentiality

Both parties agree to keep confidential all non-public information exchanged during the course of providing services, including business strategies, financial data, client lists and technical specifications. This obligation continues for 2 years after termination of services. Confidential information does not include information that becomes publicly available, is independently developed or is required to be disclosed by law.

7. Results Disclaimer

We commit to applying our full expertise, implementing proven strategies and providing transparent reporting. Any projected results discussed are estimates based on experience and are not contractual guarantees.

8. Limitation of Liability

To the maximum extent permitted by applicable UK law:

• NextIce's total liability for any claim arising from our services shall not exceed the total fees paid by you in the 3 months preceding the claim
• We are not liable for indirect, consequential, incidental or punitive damages, including loss of profits, loss of revenue or loss of data
• We are not liable for losses arising from third-party platform outages, algorithm changes or policy updates (Google, Meta, LinkedIn, etc.)
• We are not liable for delays caused by the client's failure to provide required information or access

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud or any other liability that cannot be excluded under English law.

9. Termination

9.1 By the Client

You may terminate monthly retainer services by providing 30 days written notice via email to info@nextice.co.uk. You remain liable for fees accrued up to the termination date.

9.2 By NextIce

We reserve the right to terminate services with 14 days notice, or immediately in cases of:

• Non-payment of invoices after 30 days past due
• Breach of these Terms of Service
• Requests to engage in unethical, illegal or Google policy-violating activities
• Abusive or threatening behaviour toward our team

9.3 Effect of Termination

Upon termination, we will provide all client-owned assets, data and access credentials. Campaign data, reports and website files belonging to the client will be made available within 7 business days.

10. Third-Party Platforms

Our services involve managing accounts on third-party platforms including Google, Meta, LinkedIn and others. You acknowledge that:

• These platforms have their own terms of service, advertising policies and community standards which take precedence
• Platform policy changes may affect campaign performance or strategy — we will adapt as quickly as possible
• Account suspensions by third-party platforms for pre-existing violations are not NextIce's liability
• Ad spend budgets are controlled by the client and billed directly by the platform

11. Data Protection & UK GDPR

Both parties agree to comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Where NextIce processes personal data on your behalf (e.g. website visitor data, remarketing audiences), we act as a Data Processor and you act as the Data Controller. 12. Governing Law & Disputes

These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to These Terms

NextIce reserves the right to update these Terms of Service at any time. We will notify active clients of material changes via email. Updated terms will be published on this page with a revised "Last Updated" date. Continued use of our services after the effective date constitutes acceptance of the updated terms.
