1. Acceptance of Terms

By accessing nextice.co.uk, requesting a quotation, submitting our contact form or engaging NextIce Digital Agency Ltd for any service, you ("Client", "you") confirm that you have read, understood and agree to be bound by these Terms of Service and our Privacy Policy.

If you are entering into these terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. These terms apply to all clients in the United Kingdom, United States, Canada and any other jurisdiction where we operate.

5.1 Client Content

You retain all ownership rights to content, logos, trademarks and materials you provide to us. By providing this material, you grant NextIce a licence to use it solely for delivering the contracted services.

5.2 Deliverables

Upon full payment of all applicable fees, ownership of custom deliverables (website code, design assets, written content produced specifically for you) transfers to the client. This excludes:

NextIce reserves the right to display completed work in our portfolio and marketing materials unless you request otherwise in writing.

6. Confidentiality

Both parties agree to keep confidential all non-public information exchanged during the course of providing services, including business strategies, financial data, client lists and technical specifications. This obligation continues for 2 years after termination of services. Confidential information does not include information that becomes publicly available, is independently developed or is required to be disclosed by law.

7. Results Disclaimer

⚠️ While NextIce uses industry-best practices and works diligently to achieve your goals, we cannot guarantee specific search engine rankings, advertising results or revenue outcomes. Search engine algorithms, market conditions and platform policies are outside our control. Past performance does not guarantee future results.

We commit to applying our full expertise, implementing proven strategies and providing transparent reporting. Any projected results discussed are estimates based on experience and are not contractual guarantees.

8. Limitation of Liability

To the maximum extent permitted by applicable UK law:

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud or any other liability that cannot be excluded under English law.

9. Termination

9.1 By the Client

You may terminate monthly retainer services by providing 30 days written notice via email to info@nextice.co.uk. You remain liable for fees accrued up to the termination date.

We reserve the right to terminate services with 14 days notice, or immediately in cases of:

Upon termination, we will provide all client-owned assets, data and access credentials. Campaign data, reports and website files belonging to the client will be made available within 7 business days.

Both parties agree to comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Where NextIce processes personal data on your behalf (e.g. website visitor data, remarketing audiences), we act as a Data Processor and you act as the Data Controller. 12. Governing Law & Disputes

These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

NextIce reserves the right to update these Terms of Service at any time. We will notify active clients of material changes via email. Updated terms will be published on this page with a revised "Last Updated" date. Continued use of our services after the effective date constitutes acceptance of the updated terms.
